I hadn’t thought of that, but you’re right. In that case, did he get shares outright, or was he given options (NSOs, I assume). Given that he also received $2B in cash (which would be cap gains, so $1.6B after taxes), I guess he would have just paid the tax bill. So, that’s the fair market value of 37M shares, which someone else said was $2B, so that’s about 40%, or $800M. So, after doing the deal, between the cap gains and the ordinary income, that would have been $1.2B in taxes, out of a $2B payout. But now he has $800M in the bank, and owns 37M shares of Disney. Wow. That’s common. I receive stocks as compensation every quarter and each time it will automatically deduct ~50%. Say the company gives me 100 shares and I only receive 50 shares in my account.
